Mr. Russell has served as in-house counsel to a public company and has substantial experience in general corporate matters.

Acquisitions 
and Mergers:

Mr. Russell has represented both buyers and sellers in more than 60 separate transactions.  Such transactions have involved private and public companies, and have been both leveraged and non-leveraged deals.

Securities Law:

Mr. Russell has handled private and public securities offerings and has extensive experience with disclosure issues.

Commercial 
Law:

Mr. Russell has drafted and negotiated agreements involving licensing, sales, manufacturing and distribution arrangements.  He also has handled joint venture and venture capital transactions.

Finance Law:

Mr. Russell has represented both lenders and borrowers in corporate and commercial lending transactions and work-outs.  He also has represented nonprofit institutions in tax exempt financings.

Real Estate 
Law:

Mr. Russell's experience includes the representation of clients in transactions involving office, commercial and industrial real estate.  He has represented buyers and sellers, and landlords and tenants, in such real estate matters.
